Avoiding Costly Shareholder and Post-Acquisition Disputes

Overview

Understanding how careful drafting of shareholder and Sale and Purchase agreements can mitigate the risk of costly legal disputes.

One of the downsides of COVID-19 has been an uptick in shareholder and post-acquisition disputes, with cash-strapped business owners seeking to exit businesses or look for ways to extract additional value from the sale of businesses. While the underlying causes of those disputes are not specific to COVID-19, they represent common themes often present in such disputes because of the manner in which the agreements are drafted.

This presentation identifies the common areas of dispute and presents a number of straight-forward ways to improve the drafting of shareholder and Sale & Purchase agreements to reduce the scope of future disputes. It will include a recent case study involving a shareholder dispute concerning the value of the business, to demonstrate how the considered drafting of a shareholder agreement can avoid costly litigation.
