Overview

Understanding the Commercial Debt Forgiveness and Debt-Equity Rules: Your Key to Financial Clarity

This session addresses two crucial aspects of tax law that are often overlooked in practice:

  • The commercial debt forgiveness (CDF) rules, and
  • The debt-equity provisions.

It provides practical guidance on the operation of the CDF rules, including the definition of a “commercial debt” for tax purposes. The session explores the various ways in which commercial debts can be “forgiven” and outlines how to calculate “forgiven amounts” with the help of worked examples.

Additionally, the session covers the impact of “forgiven amounts” on the tax balances of the debtor, demonstrated through practical examples. It also highlights the exclusions from the CDF provisions and offers practical tips on addressing commercial debt forgiveness issues.

The session further delves into the debt-equity provisions, providing insights into how specific arrangements can give rise to either a debt interest or an equity interest. It explains how to accurately determine whether an interest qualifies as a “debt interest” or an “equity interest.” The impact of the “tiebreaker” test, which applies to interests that meet both the debt and equity criteria, is also discussed, along with:

  • The implications of the “connected entity” rules,
  • The “related scheme” rules,
  • Handling of non-share equity interests and non-share capital accounts,
  • The small business turnover carve-out for at-call loans between connected entities, and
  • The interaction with thin capitalisation provisions

Attendees will gain a practical understanding of both the commercial debt forgiveness rules and the debt-equity provisions.
